Fit Note scheme and company restorations?
6th April 2010 sees the introduction of the ’fit note’ scheme which could save UK businesses and company restorations £240 million over the next decade, the government claims. The scheme will reduce the cost of employee absence. Under the new scheme, doctors will be able to advise what sort of tasks employees can perform rather than issue a sick note that declares someone too ill to work. Doctors will be able to advise that their patient would be able to work, subject to the employer’s agreement, if temporary changes such as reduced working hours or amended duties could be accommodated. The DWP has produced guidance for both employers and doctors on the fit note scheme, which can be found at http://www.dwp.gov.uk/fitnote Further help on occupational health will be made available to small firms with the extension in April of a special advice line.

What are the costs or penalties of a company restoration?
Where a company restoration proceeds through the Courts then the costs of issuing the documents is currently £300. The costs of the Registrar of Companies, who is represented by The Treasury Solicitor, are normally met by the Claimant. These costs will usually be £300. Where the company is to continue trading it may also have to pay the statutory penalty for late filing of any accounts delivered outside the period allowed by the Companies Act. Where penalties are applicable, the Registrar will send a penalty notice to the company’s registered office once the company has been restored to the Register. Further if the company is going to continue trading once restored, it may also have to file any outstanding annual returns and these filing fees will need to be paid before the company is restored to the register.

Who can attend the Court Hearing?
During a company restoration it may be necessary to attend a Court Hearing. This requirement is extremely rare but you can attend in person or be represented by an advocate, and the company itself can be represented by an advocate. The Courts have indicated that accountants do not have a right of audience in matters of this nature. Limited company restorations file the necessary documents for the company restoration withThe Companies Court in London which has adopted a practice of attempting where possible to deal with these cases by consent without a formal hearing. Therefore the need to attend the Court Hearing is very unlikely.

Is there a time limit for restoring a company?
A hearing date is given to every company restoration, and it is generally six months after the Courts have received the claim forms. Once a hearing date has been issued to a company, it is recommended that the restoration to be completed by that date. If it is not, the hearing date will be adjourned to approximately 3 months later, and a £30 fee will be incurred. You are allowed two adjournment dates each costing £30. If the company is not restored by the second adjournment date, the restoration will get thrown out and it will be necessary to start the entire process again, including the costs.

Time limits for Company Restoration
There are time limits that apply to a company restoration. Except in the case of a personal injury claim the application for restoration must be made within 6 years of the date of dissolution of the company. Where there is a claim for damages for personal injury an application for company restoration can be made at any time. If a company was struck off under section 652 or 652A of the Companies Act 1985 an application may be made at any time before: (a) 1st October 2015 (6 years after commencement of the provisions of the Companies Act 2006), or (b) The expiration of the period of 20 years from publication in the London Gazette of notice under the relevant section whichever occurs first. This means in practice that a company struck off before 30th September 1995 cannot be restored, unless there is claim for a personal injury ,in which case there is no time limit for a company restoration.

Who can apply to restore a limited company
The following can apply to restore a limited company. (a) The Secretary of State, (b) Any former director of the company, (c) Any person having an interest in land in which the company had a superior or derivative interest, (d) Any person having an interest in land or other property: (i) That was subject to rights vested in the company, or (ii) That was benefited by obligations owed by the company, (e) Any person who but for the company’s dissolution would have been in a contractual relationship with it, (f) Any person with a potential legal claim against the company, (g) Any manager or trustee of a pension fund established for the benefit of employees of the company, (h) Any former member of the company (or the personal representatives of such a person), (i) Any person who was a creditor of the company at the time of its striking off or dissolution, (j) Any former liquidator of the company, (k) Where the company was struck off the register under section 1003 (voluntary striking off), any person of a description specified by regulations under section 1006(1)(f) or 1007(2)(f) (persons entitled to notice of application for voluntary striking off), or by any other person appearing to the court to have an interest in the matter. Got My Money Back
Stupidly I completed form 652 to strike my company off at Companies House before getting the money out of the company bank account.Found out that the bank account was frozen and that I had to restore the company.You guys got the company restored and I got the money so I am more than happy!Cheers!!
